Terms and Conditions

Effective Date: January 1, 2023

1. Acceptance of Terms

By accessing or using the services provided by Flysolve IT Solutions ("Company", "we", "us", or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all of these Terms, do not use our services.

2. Services

Flysolve provides IT solutions including but not limited to web development, mobile application development, UI/UX design, and IT consulting services (collectively, the "Services").

2.1 Service Agreements

Specific projects will be governed by separate Service Agreements that outline project scope, deliverables, timelines, and payment terms.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for project execution
• Make timely decisions and provide feedback during the project lifecycle
• Adhere to payment schedules as outlined in the Service Agreement
• Obtain all necessary rights, permissions, and licenses for materials provided to Flysolve

4. Fees and Payments

4.1 Pricing

Service fees will be specified in the Service Agreement. We reserve the right to change our pricing structure with 30 days' notice for ongoing services.

4.2 Payment Terms

Unless otherwise agreed in writing:

• Fixed-price projects typically require a 30-50% deposit before work begins
• Recurring services are billed monthly in advance
• All invoices are payable within 15 days of receipt

4.3 Late Payments

Late payments may be subject to interest charges of 1.5% per month or the maximum rate allowed by law. We reserve the right to suspend services for accounts more than 30 days past due.

5. Intellectual Property

5.1 Client Materials

All materials provided by the client remain the property of the client.

5.2 Deliverables

Upon full payment, ownership of final deliverables transfers to the client, excluding any proprietary tools, frameworks, or libraries developed by Flysolve.

5.3 Flysolve IP

All pre-existing Flysolve intellectual property, including methodologies, tools, and know-how, remain our exclusive property.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information received from the other party during the term of service and for 3 years thereafter.

7. Warranties and Limitations

7.1 Service Warranty

We warrant that services will be performed in a professional manner consistent with industry standards. For defects reported within 30 days of delivery, we will correct such defects at no additional charge.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, WE MAKE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

In no event shall Flysolve be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability for any claim shall not exceed the fees paid by the client for the specific service giving rise to the claim.

9. Termination

Either party may terminate a Service Agreement with 30 days' written notice. Upon termination:

• Client shall pay for all services rendered up to the termination date
• Flysolve shall deliver all completed work product
• Client shall return all Flysolve proprietary materials

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Madhya Pradesh, India, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of our services after such changes constitutes acceptance of the new Terms.
